Terms & Conditions for Acceptable Use of Supplymint Platform by TurningCloud Solutions Pvt Ltd ("SM")

These Terms and Conditions for Acceptable Use of Supplymint Platform ("Acceptable Use Policy") outlines restrictions on how Users can engage with SM's software-as-a-service platform and the SM website ("Platform"). The examples provided in this Acceptable Use Policy are for the purpose of illustration and may not be comprehensive. SM reserves the right to update this Acceptable Use Policy at any point by publishing a revised version on the SM website. Utilizing the Platform or visiting the SM website signifies the User's acceptance of the most current version of this Acceptable Use Policy. Should the User breach this Acceptable Use Policy, or permit or assist others in doing so, SM reserves the right to suspend or end the User's access to the SM Platform, as well as take other civil or criminal actions available under the applicable law.

Permitted Users

    This Acceptable Use Policy applies to all Users, meaning
  • (i) employees of entities who have entered into a contract with SM for use of SM Platform
  • (ii) individuals accessing the SM Website, and
  • (iii) any person specifically authorized as a User by SM in writing.
    SM shall have the right to take civil or criminal actions against those individuals who
  • (i) are accessing or using the SM Platform in any manner whatsoever, and
  • (ii) who are not Users as defined above.

Prohibited Uses

Users are not peritted to use the SM Platform in an illegal or damaging way, nor is any objectionable content is permitted. Using the SM Platform for illicit, harmful, or offensive purposes is strictly prohibited. This includes actions such as transmitting, storing, displaying, distributing, or otherwise sharing content that is illegal, harmful, or offensive. Specifically, the following activities and content are not allowed:

  • Illegal Activities — Any illegal activities, including but not limited to advertising, transmitting, promoting, or facilitating any and all illegal activities.
  • Harmful or Fraudulent Activities — Activities that may be harmful to our users, operations, or reputation, including but not limited to offering or disseminating fraudulent goods, services, schemes, or promotions, or engaging in other deceptive practices.
  • Infringing Content — Content that infringes or misappropriates the intellectual property or proprietary rights of ourselves as well as others.
  • Offensive Content — Content that is defamatory, obscene, abusive, invasive of privacy, or otherwise objectionable in nature.
  • Harmful Content — Content or other computer technology that may damage, interfere with, surreptitiously intercept, or expropriate any system, program, or data, including viruses, Trojan horses, worms, time bombs, or cancelbots.
  • Hacking Activities — Activities including but not limited to modifying, reverse-engineering, scraping, bypassing security protocols, hacking or attempting to hack or otherwise discover any underlying ideas, algorithms or source code of a proprietary nature or vulnerabilities of the SM Platform.
  • Competitive Activities — Activities that include copying the SM Platform, or any part, feature, function or user interface thereof, or accessing the SM Platform in order to build a competitive product or service.
  • Tampering Activities — Activities that include modifying, altering, tampering with or creating a derivative work of any software included in the SM Platform.
  • Interfering Activities — Activities that include using the SM Platform to interfere with or disrupt the integrity or performance of the SM Platform (or their components), or to attempt to gain unauthorized access to the SM Platform, or any related systems or networks.

No Security Violations

Users may not use the SM Platform to violate the security or integrity of any network, computer or communications system, software application, or network or computing device (each, a "System"). Prohibited activities include:

  • Unauthorized Access — Accessing or using any System without permission, including attempting to probe, scan, or test the vulnerability of a System or to breach any security or authentication measures used by a System.
  • Interception — Monitoring of data or traffic on a System without permission.
  • Falsification of Origin — Forging TCP-IP packet headers, email headers, or any part of a message describing its origin or route. This prohibition does not include the use of aliases or anonymous remailers.

No Network Abuse

Users may not make network connections to any Users, hosts, or networks unless the User has permission to communicate with them. In addition, Users do not have permission to abuse SM's networks or use SM's networks to abuse other networks. Prohibited activities include:

  • Monitoring or Crawling — Monitoring or crawling of a System that impairs or disrupts the System being monitored or crawled.
  • Denial of Service (DoS) — Inundating a target with communications requests so the target either cannot respond to legitimate traffic or responds so slowly that it becomes ineffective.
  • Intentional Interference — Interfering with the proper functioning of any System, including any deliberate attempt to overload a system by mail bombing, news bombing, broadcast attacks, or flooding techniques.
  • Operation of Certain Network Services — Operating network services like open proxies, open mail relays, or open recursive domain name servers.
  • Excessive Use of Bandwidth — The Platform's bandwidth limitations vary depending on the features the User's use. If SM determines that the User's bandwidth usage is excessive compared to other Users of similar features, SM reserves the right to suspend the User's access, throttle the User's traffic, or otherwise limit the User's activity until the User has reduced its bandwidth consumption.
  • Avoiding System Restrictions — Using manual or electronic means to avoid any use limitations place on a System, such as access and storage restrictions.

SM is entitled to take any steps it deems necessary to (i) prevent excessive API calls, storage abuse, or activities that degrade system performance, and to (ii) restrict use of unauthorized plugins or integrations that may compromise security or IP rights.

No Email Abuse

The User will not distribute, publish, send, or facilitate unsolicited mass emailing, promotions, advertising, or solicitations (like "spam"), including commercial advertising and informational announcements. The User will not alter or obscure mail headers or assume a sender's identity without the sender's explicit permission. The User will not collect replies to messages sent from another internet service provider if those messages violate this Acceptable Use Policy or the acceptable use policy of that provider.

SM's Monitoring and Enforcement

SM reserve's the right, but do not assume the obligation, to investigate any violation of this Acceptable Use Policy or misuse of the SM Platform. SM may investigate violations of this Acceptable Use Policy or misuse of the SM Platform; or remove, disable access to, or modify any content or resource that violates this Acceptable Use Policy or any other agreement SM has with the Users (including but not limited to the respective End User License Agreement) for use of the SM Platform. SM may report any activity that SM suspects as violating any law or regulation to appropriate law enforcement officials, regulators, or other appropriate third parties. SM's reporting may include disclosing appropriate customer information. SM also may cooperate with appropriate law enforcement agencies, regulators, or other appropriate third parties to help with the investigation and prosecution of illegal conduct by providing network and systems information related to alleged violations of this Acceptable Use Policy.

Personal Data

The Users acknowledge and agree that the usage of SM Platform may involve collection, usage or processing of the Users' personal data. As such, the Users agree to abide by the applicable Privacy Policy.

Security Obligations

Users are required to maintain confidentiality of their login credentials. SM shall not be responsible for any breaches in this regard, and the Users shall be responsible to SM in case of unauthorized access to the SM Platform. Users are required to promptly inform SM of any actual or suspected security and confidentiality breaches.

Changes to this Policy

We reserve the right to modify this Policy at any time. Changes will be posted on this page with an updated effective date. Continued use of the Platform constitutes acceptance of the revised Policy. You are responsible for regularly checking the Policy, determining if there have been any changes and reviewing such changes.

Order of Precedence

Where the Platform is used by a business customer under a signed Software as a Service (SaaS) Subscription Agreement ("MSA"), an individual user of the business customer accesses the platform pursuant to an End User License Agreement ("EULA"). Such individual users consent that the MSA controls and governs this relationship. In the absence of an MSA, the Terms of Service governs the relationship between SM and the user, and the former prevails over the latter in the event of any conflict. For liability and other matters not contained in this Acceptable Use Policy, the MSA or Terms of Service, as applicable, control.

Compliance & Reporting of Violations of this Policy

Users are required to comply with anti-money laundering, anti-corruption, anti-bribery and other applicable laws and standards mandated by the local jurisdiction. SM reserves the right to monitor usage for compliance and to suspend or terminate accounts for violations. SM may update this Authorized Use Policy at any time, and that continued use by the User constitutes acceptance of changes. If a User becomes aware of any violation of this Acceptable Use Policy, they shall immediately notify SM and provide SM with assistance, as requested, to stop or remedy the violation.
